Board of Trustees update: June 2013

5 June 2013

SCI AGM, 3 July
The Board of Trustees (BoT) is delighted to see such strong interest from a wide range of members who wish to participate in governance. As there are more candidates than positions for the BoT (12 candidates for four ordinary Trustee positions) there will be an election. I therefore encourage all members to use their vote, either in person at the AGM or by post using the form provided in your AGM pack.

Broadening participation in Governance: Co-option
In addition to encouraging more members to stand for election, the Board has also been considering other ways to encourage more members to participate in governance. We currently have provision for up to three co-opted members on the BoT and on each Standing Committee. To provide more flexibility, the Board has agreed to increase the maximum number of co-optees for the Board and for Standing Committees up to five in each case. It has also agreed that the co-option termS, should be increased, from the current limit of 'up to two years', to 'up to three years' in order to align it with the term for elected members.

The proposed changes in relation to the BoT require a change to the By-Laws and are therefore subject to ratification by the AGM and assent of the Privy Council. Members are requested to vote on this issue at the AGM.

In addition to the elected and co-opted categories, the Board and Standing Committees also have the option to invite others to be involved as non-voting 'invited members' for specific projects or other purposes on a flexible basis. I look forward to seeing as many members as possible at the AGM on 3 July and please, please do use your vote.

Dr Jack Melling
Chairman of the Board of Trustees
